Disclosure on Model 231 and Code of Ethics

Since January 2025, Galdi has been strengthening its corporate governance by adopting the Organization, Management and Control Model pursuant to Legislative Decree 231/2001.

The adoption of this system helps to prevent and reduce the risk of misconduct that could compromise the company's reputation and the proper conduct of its activities, promoting a culture based on ethics, transparency, fairness and legality.

Model 231 is a coherent system of principles, organizational procedures, management and control, offering numerous advantages, including:

• Protection of the Company: Galdi concretely demonstrates its commitment to the prevention of illegal activities;
• Prevention of crimes: Galdi promotes a work environment based on fairness and responsibility;

To guarantee a transparent and responsible work environment, Galdi has also implemented a Whistleblowing Procedure, which allows anyone to report, in a safe and confidential manner, any violations of national or European regulations that affect the public interest or Galdi's integrity.

By adopting the 231 Model, the Code of Ethics and the Whistleblowing Procedure, Galdi reaffirms its commitment to ethical and transparent company management that complies with regulations, which benefits all stakeholders.
